Stipulation and Order
STIPULATION AND ORDER: IT IS HEREBY STIPULATED AND AGREED between Majesco, Thrall and Defendant Equisoft Inc. ("Equisoft" and together with Majesco and Thrall, the "Parties") that: 1. From June 11, 2026 until the Preliminary Injunction Hearing, Defendant Thrall shall not work on United States-related business or perform services for customers or prospective customers in the United States for Equisoft or any other purported competitor of Majesco; 2. From June 11, 2026 until the Preliminary Injunction Hearing, Defendant Thrall shall not solicit any customers or prospective customers of Majesco in the United States about whom Thrall was aware while employed by Majesco or Vitech Systems Sub LLC, dba Vitech Systems Group ("Vitech") to do business with Equisoft or any other purported competitor ofMajesco in the United States; 3. From June 11, 2026 until the Preliminary Injunction Hearing, Defendant Thrall shall not solicit any employees of Majesco to cease employment with Majesco and/or commence employment with Equisoft or any other purported competitor of Majesco; and 4. From June 11, 2026 until the Preliminary Injunction Hearing, Defendant Thrall shall not use or disclose any of Majesco's confidential or proprietary information. IT IS FURTHER STIPULATED AND AGREED between the Parties that the restrictions set forth herein shall not be deemed to be a waiver of any arguments or defenses at the Preliminary Injunction Hearing or otherwise in this litigation. This Stipulation may be executed in counterparts, and each such counterpart shall constitute one and the same instrument. This Stipulation shall be deemed to have been executed when the parties hereto each execute and exchange counterparts thereof, which may be accomplished by facsimile, email or in person, in accordance with the convenience of the parties.
