STIPULATION AND ORDER: IT IS HEREBY STIPULATED AND AGREED between the Parties that: 1. From June 11, 2026 until December 31, 2026, Thrall shall not, directly or indirectly (e.g., selling through partners, directing sales outreach, participating in customer-facing pitches), sell or attempt to sell any software or services to Majesco's and Vitech Systems Sub LLC's, dba Vitech Systems Group ("Vitech") customers or Prospective Customers (as defined below), located in the United States, for Equisoft or any other purported competitor of Majesco, where such business relates to life insurance and annuities. (As further set forth herein.) 3. From June 11, 2026 until December 31, 2026, Thrall shall not solicit any customers or Prospective Customers of Majesco or Vitech in the United States about whom Thrall was aware while employed by Majesco or Vitech to do business with Equisoft or any other purported competitor of Majesco in the United States. 4. From June 11, 2026 until April 2, 2027, Thrall shall not solicit any employees ofMajesco to cease employment with Majesco and/or commence employment with Equisoft or any other purported competitor of Majesco. 5. Nothing herein shall prevent Thrall from performing any work for Equisoft while physically present in the United States provided such work does not conflict with the prohibitions set forth in the above paragraphs. 6. Thrall shall continue to comply with his obligations not to use or disclose any of Majesco's or Vitech's confidential or proprietary information. Nothing herein shall prevent Equisoft from publicly announcing the hiring of Thrall as Chief Sales Officer, and neither such announcement nor Thrall's employment by Equisoft or his title shall constitute, or be deemed evidence of, a violation of any restriction set forth in this Stipulation. 8. Upon receipt of a copy of this Stipulation So Ordered by the Court, Majesco willfile a Notice of Voluntary Dismissal Without Prejudice withdrawing this action. 9. This Court shall retain jurisdiction with respect to any action to interpret or enforce this Stipulation. SO ORDERED. (Signed by Judge P. Kevin Castel on 8/18/2026) (vfr)
