(Text-Only) ORDER FOR PARTY TO FILE DOCUMENT/RESPOND TO COURT.
This matter comes before this Court on its June 17, 2026 Order 6 requiring Plaintiff to either (1) file an amended complaint that establishes subject matter jurisdiction for this action, including by specifying the citizenship of each party, including specifying the citizenship of each member and sub-member of that entity with respect to Kellermeyer Bergensons Services, LLC (KBS), or (2) voluntarily dismiss this action.
On June 24, 2026, Plaintiff filed an Amended Complaint 7 , representing "upon information and belief, KBS is owned by three majority equity holders, Kohlberg Kravis Roberts & Co. ("KKR"), Ares Management ("Ares"), and Blackrock Capital Investment Advisors, LLC ("Blackrock"). KKR is a corporation with its corporate headquarters located at 30 Hudson Yards, New York, New York 10001. Ares is a corporation with its corporate headquarters located at 1800 Avenue of the Stars, Suite 1000, Los Angeles, California 90067. Blackrock is a wholly-owned subsidiary of BlackRock, Inc., whose corporate headquarters is located at 50 Hudson Yards, New York, New York 10001." The Amended Complaint omits where these corporations are incorporated. See 28 U.S.C. § 1332(c)(1) (setting forth that "a corporation shall be deemed to be a citizen of every State and foreign state by which it has been incorporated and of the State or foreign state where it has its principal place of business.") (emphasis added). In addition, the Amended Complaint represents there are three majority holders, which intimates that there are minority members whose citizenship is not set forth in the Amended Complaint.
Therefore, on the record now before it, the Court is still unable to determine whether subject matter jurisdiction exists based on diversity.
On or before July 16, 2026, Plaintiff must either (1) file a second amended complaint that establishes subject matter jurisdiction for this action, by specifying the citizenship of each party, which must set forth the citizenship of each member and sub-member of that entity, including any minor members, as well as set forth the state in which they are incorporated and their principal place of business, with respect to Kellermeyer Bergensons Services, LLC, or (2) voluntarily dismiss this action. If Plaintiff fails to comply with this Order, it may be recommended that this action be dismissed without prejudice. SO ORDERED.
