Before the Court is Defendant Firstline Environmental Solutions, LLC's Motion for Leave to File Certificate of Interested Parties Under Seal (ECF No. 49 ). Defendant states that if it is forced to publicly reveal its investors' identities, this will "destroy its ability to attract outside investment from anonymous investors and obtain the capital it needs to continue doing business." ECF No. [49-1] 3.
In G&G Closed Circuit Events, LLC v. Fanmio Inc., et al., No. 2:24-CV-01279-JCM-MDC, 2024 WL 4228835, at *2 (D. Nev. Sept. 18, 2024), the Court noted that the defendant (Fanmio) argued "[d]isclosure [of investor identities] would potentially [cause] harm by discrediting with future investors who desire to invest on a confidential basis." The Court then held that this concern established good cause for the request to seal the certificate of interested parties. Id. In Guild Mortg. Co. LLC v. CrossCountry Mortg. LLC, No. C21-1376-JCC-MLP, 2022 WL 18999842, at *6 (W.D. Wash. Dec. 6, 2022), while the Court rejected "the blanket proposition that LLC membership must be sealed," the Court found "concern about losing investors who fear public pressure not to invest in its projects" sufficient to establish good cause for sealing investor identities.
Accordingly, IT IS HEREBY ORDERED that the Motion for Leave to File Certificate of Interested Parties Under Seal (ECF No. 49 ) is GRANTED.
IT IS FURTHER ORDERED that Defendant Firstline Environmental Solutions, LLC must clarify with the Court whether the unsealed version of the Certificate of Interested Parties has been served on all other parties and if not, why not. If a stipulated protective order is needed before the document is served, Firstline must prepare the same for all other parties to consider. A status report is due regarding service and a stipulated protective order (if any) no later than September 24, 2026.
