ORDER (by docket text only). This matter is before the Court on a sua sponte review of subject matter jurisdiction. Defendants' Notice of Removal alleges that "Defendant FF Blain, LLC is... a corporation organized and existing under the laws of the State of North Carolina, with its principal place of business in North Carolina." (Doc. 1 par. 4). It contains an identical allegation with respect to Defendant JD Logistics Worldwide LLC. But these Defendants are limited liability companies, not a corporations. And "a limited liability company is a citizen of any state of which a member of the company is a citizen." Rolling Greens MHP, L.P. v. Comcast SCH Holdings L.L.C., 374 F.3d 1020, 1022 (11th Cir. 2004). The Notice of Removal must be amended to allege the citizenship of each Defendants' members, and to the extent that the members are LLCs, the Notice of Removal must further allege the citizenship of the members of those LLCs and so forth. Moreover, Defendants failed to file Certificates of Interested Persons and Disclosure Statements (CIPs). Pursuant to Rule 7.1, the CIP "must name--and identify the citizenship of--every individual or entity whose citizenship is attributed to that party." Defendants are DIRECTED to file an amended Notice of Removal properly alleging this Court's subject matter jurisdiction, and to file compliant CIPs, by NO LATER THAN 10/16/2026 or this case may be remanded without further notice.
